Nicole Leong

Nicole is a Senior Associate in Kennedys’ Singapore office specialising in a wide range of corporate areas, with a particular focus on mergers and acquisitions, equity capital markets, and general commercial matters. Nicole is fluent in English and Chinese, and her clients include multinational companies, listed issuers, sponsors, investors, and founders in a broad range of industries.

Nicole represents clients in domestic and cross-border acquisitions and disposals, and fund-raising exercises. She has acted as lead transaction counsel and local counsel in deals relating to e-commerce, automobile, building materials, shipping, real estate, healthcare, education, food and beverage, luxury goods, and oil and gas. Nicole advises on the transaction structure, conducts and facilitates the legal due diligence process, drafts and negotiates key substantive documents as well as ancillary documents, and attends to closing of the transaction. She has experience in liaising with foreign counsels in ASEAN jurisdictions, Australia, China, UK, and USA.

Nicole's equity capital markets experience includes advising listed issuers and companies seeking to list on the Singapore Stock Exchange and other key markets such as Hong Kong, UK, and USA. Her work involves advising on the restructuring of the listing group, leading and conducting legal due diligence review on the listing group, liaising with foreign counsels where required, advising the listing group on the legal and regulatory requirements for a listing exercise, preparing all the relevant documentation, conducting the verification meeting with directors and professionals, and attending to submission, lodgement, and registration of the prospectus. Nicole also advises listed issuers on their continuing obligations under the Singapore listing rules and requirements under the Singapore Code on Take-overs and Mergers, and assists in drafting the relevant announcements and circulars for corporate actions such as takeovers, acquisitions, disposals, and share buybacks.
